Terms of Use

These Terms of Use ("Terms") govern access to and use of LateriteAI, including www.laterite.ai and related LateriteAI service domains (the "Service"). The Service is operated by Laterite BV, Herengracht 221, 1016 BG Amsterdam, The Netherlands.

If your organization has a separate written agreement with Laterite, that agreement controls where it conflicts with these Terms.

LateriteAI is for invited business, research, university, government, NGO, foundation, and institutional users only. It is not a public consumer service. Users must be authorized by their organization to access the Service.

Users are responsible for keeping login credentials secure. Customer organizations are responsible for managing their users, roles, permissions, agent access, lawful use of the Service, and any content submitted by their users.

Users must not use LateriteAI to:

• break the law or violate privacy, data protection, intellectual property, or contractual rights
• upload data they are not authorized to use or process
• harass, deceive, defame, threaten, or harm others
• generate malicious, abusive, discriminatory, deceptive, or unlawful content
• introduce malware or attempt to disrupt, overload, scrape, reverse engineer, or bypass the Service
• share accounts or access credentials with unauthorized people
• remove, obscure, or misuse Laterite branding, notices, security controls, or access restrictions

Users must not upload sensitive personal data, children's data, biometric data, health data, financial account data, confidential third-party data, or data subject to data localization or transfer restrictions unless their organization has a lawful basis, appropriate consent or authorization, and the upload is allowed under its agreement with Laterite.

Laterite may refuse, suspend, or restrict processing where it reasonably believes data has been uploaded unlawfully or in breach of these Terms.

Users must not use LateriteAI for prohibited or harmful AI practices, including:

• social scoring or unlawful surveillance
• manipulation, deception, or exploitation of vulnerabilities
• discriminatory profiling or targeting
• real-time remote biometric identification
• biometric categorization to infer sensitive traits
• automated decisions that produce legal or similarly significant effects without appropriate human oversight
• medical, legal, financial, safety-critical, or other regulated decisions without qualified human review

"Service Data" means chats, prompts, user-uploaded documents, datasets, generated outputs, metadata, support information, and error information submitted to or generated through LateriteAI.

The customer organization remains responsible for Service Data submitted by its users. Laterite processes Service Data only to provide, secure, support, and administer LateriteAI.

Laterite does not use Service Data to train AI models, fine-tune AI models, improve Laterite workflows, build benchmarks, develop datasets, conduct unrelated research, or build unrelated products or services.

Chat histories and user-uploaded documents are automatically deleted after 3 months. Users or customer organizations may request earlier deletion, subject to legal, billing, security, audit, backup, or dispute-resolution requirements.

LateriteAI may produce AI-assisted outputs. Outputs may be incomplete, inaccurate, or unsuitable for a particular use. Users are responsible for reviewing outputs before relying on them or sharing them externally. LateriteAI is a research-support tool and does not provide legal, financial, medical, or other regulated professional advice.

Laterite and its licensors own the Service, software, interfaces, designs, documentation, and underlying technology. Customer organizations retain their rights in Service Data, subject to the rights granted to Laterite to provide the Service.

Laterite may suspend, restrict, or terminate access if it reasonably believes the Service is being misused, security is at risk, payment is overdue, the law may be violated, or these Terms or a customer agreement have been breached.

Laterite may update, modify, suspend, or discontinue parts of LateriteAI. We will aim to avoid unnecessary disruption to active customers, but we do not guarantee uninterrupted or error-free service.

To the maximum extent permitted by law, Laterite is not liable for indirect, consequential, special, punitive, or lost-profit damages. Laterite's aggregate liability is limited to the fees paid by the customer for the Service in the 12 months before the claim, unless a separate written agreement states otherwise.

The customer organization agrees to protect Laterite from claims, losses, and costs arising from unlawful uploads, unauthorized data use, user misuse, breach of these Terms, or violation of third-party rights.

These Terms are governed by the laws of the Netherlands, unless a separate written agreement states otherwise.
